Section 1: Acceptance of Terms

Hereby, the User unequivocally affirms their assent and concurrence to be irrevocably bound by the stipulations, provisos, and contingencies articulated within these Terms of Service (TOS), as promulgated by Noble Initiatives Inc., inclusive of its subsidiaries and affiliates, particularly the FASD Success brand. Said stipulations encompass, without limitation, the User's engagement with all digital properties and services proffered. The Company expressly reserves the inalienable right to enact modifications, alterations, or amendments to these TOS at its sole discretion, with the User's continued utilization of said services constituting incontrovertible acceptance of such modifications.

Section 2: User Obligations and Conduct

Obligations incumbent upon the User encompass maintaining conduct congruent with the dignified and lawful nature of the services proffered. This includes a strict prohibition against any form of harassment, dissemination of illicit content, fraudulent behavior, or other activities deemed antithetical to the principles of Noble Initiatives Inc. Any infraction or contravention of this imperative directive shall precipitate immediate cessation of service access, potential legal recourses, and other remedial actions as deemed necessary by the Company.

Section 3: Intellectual Property Rights


All content, including but not limited to textual material, graphical representations, and logos, appearing or otherwise disseminated via the Company's digital properties, remains under the exclusive dominion and proprietorship of Noble Initiatives Inc. Unauthorized replication, distribution, or commercial exploitation of said content is expressly interdicted, subject to enforcement under prevailing intellectual property legislation and international copyright norms.

Section 4: Disclaimer of Warranties

Noble Initiatives Inc. expressly disclaims all warranties, both express and implied, to the fullest extent permissible under applicable law, in relation to the services rendered. The User acknowledges that these services are provided on an "as is" and "as available" basis, with no representations or endorsements made and without warranty of any kind, including but not limited to warranties of accuracy, reliability, or fitness for a particular purpose. The User assumes full responsibility for any risks arising from the use of these services.

Section 5: Data Protection and Privacy

Noble Initiatives Inc. affirms its unwavering commitment to safeguarding personal data and upholding privacy rights in strict accordance with applicable data protection legislation. The Company's comprehensive privacy policy, delineated on its website, transparently outlines the modalities of data collection, processing, usage, and protection, ensuring the confidentiality and integrity of User data. Users are encouraged to review this policy to understand their rights and the Company's obligations in data handling.

Section 6: Dispute Resolution

Should any dispute, controversy, or claim arise in relation to these TOS, such dispute shall be resolved exclusively under the jurisdiction of the governing laws of Ontario, Canada. The User hereby unequivocally consents to the jurisdiction of and venue in the courts of Ontario, Canada, for the adjudication and resolution of any such disputes, waiving any objection to the propriety or convenience of such venues.


Section 7: Termination and Suspension of Services

Noble Initiatives Inc. retains the unassailable right to terminate or suspend a User's access to its services forthwith, should the User be found in violation of the Terms of Service, engage in illicit activities, or exhibit any form of misconduct deemed detrimental to the integrity of the services or the safety and enjoyment of other Users. Such termination or suspension may be effected without prior notice and at the Company's sole discretion. Users may be informed post facto of the reason for such termination or suspension as deemed appropriate by Noble Initiatives Inc.

Section 8: Use of User-Generated Content

By using the services of Noble Initiatives Inc., Users hereby confer upon the Company a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and otherwise exploit any content they generate, submit, or transmit on or through the Company's services, specifically for marketing and promotional purposes. This license is granted with the understanding that such utilization respects and does not unduly infringe upon the personal rights of the User, including privacy and intellectual property rights.


Section 9: Amendments to Terms

Noble Initiatives Inc. unequivocally reserves the irrevocable right to periodically revise, alter, or modify the provisions of these Terms of Service (TOS) at its sole discretion. Such amendments will be effectively communicated to the Users via email or conspicuous notification on the Companyā€™s website. Post-notification, the continued engagement of the User with the Companyā€™s services shall be deemed as tacit acceptance and affirmative assent to the revised terms. Users are encouraged to regularly review the TOS to remain cognizant of any modifications.

Section 10: Independent Contractors

The services under Noble Initiatives Inc. may, from time to time, be executed, facilitated, or rendered by independent contractors, who are not to be construed as employees, agents, or representatives of the Company. These contractors are bound by separate contractual agreements, delineating their roles, responsibilities, and obligations, which are distinct and separate from the TOS of Noble Initiatives Inc. Users acknowledge and consent that such engagement of independent contractors does not create any vicarious liability on the part of Noble Initiatives Inc.

Section 11: Limitation of Liability

Noble Initiatives Inc. shall not, under any circumstances, be held liable for any form of direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, that may arise from or are in any way connected with the access to, reliance on, or use of its services. This limitation of liability applies regardless of the nature of the claim, whether in contract, tort (including negligence), product liability, or otherwise, and even if the Company has been advised of the possibility of such damages.
